These Terms and Conditions ("Terms") govern your use of the Kurious Digital website, our proprietary marketing software platform ("The System"), and any related marketing services provided by us (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Services.

1. Definitions

"Company," "We," "Us," or "Our" refers to Kurious Digital, located in Beirut, Lebanon.

"Client," "User," or "You" refers to the entity or person accessing the Services.

"The System" refers to the white-labeled CRM and marketing automation software provided by Kurious Digital (powered by third-party infrastructure).

"Services" refers to the combination of software subscriptions, ad management, content creation, and consulting provided by the Company.

2. Service Structure & Engagement

Kurious Digital operates as a hybrid agency providing two distinct types of services:

A. Software Subscription ("The System") Access to our marketing software is provided on a subscription basis (monthly or annually). We grant you a non-exclusive, non-transferable, revocable license to use the software for your internal business purposes.

B. Managed Services (Ads & Content) If you engage us for Ad Management or Content Creation, specific deliverables, timelines, and performance goals will be outlined in a separate Proposal or Service Agreement.

3. Accounts and Security

To use The System, you must register for an account. You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Payment and Billing

Subscriptions: Fees for software subscriptions are billed in advance on a monthly or annual basis. By providing a payment method, you authorize us to charge the applicable fees automatically.

Service Retainers: Agency management fees (for ads/content) are billed as outlined in your specific agreement (typically monthly in advance).

Ad Spend: You are responsible for paying all advertising costs (Ad Spend) directly to the advertising platforms (e.g., Meta, Google). Kurious Digital management fees do not include the cost of purchasing media space.

Refunds: Unless otherwise stated in writing, all fees paid are non-refundable.

Late Payments: We reserve the right to suspend your access to The System or pause Managed Services if payments are more than 7 days overdue.

5. Acceptable Use Policy

You agree not to use The System to:

Send unsolicited bulk email (SPAM) or SMS in violation of local laws.

Harass, abuse, or harm another person or entity.

Upload or transmit viruses or malicious code.

Violate any applicable laws or regulations.

Compliance Note: You are solely responsible for ensuring your marketing messages (SMS/Email) comply with relevant regulations (such as A2P 10DLC in the US/Canada or local telecom regulations in Lebanon/MENA). We reserve the right to terminate accounts that violate anti-spam policies.

6. Intellectual Property

Our IP: Kurious Digital retains all rights to our brand, website, methodologies, and the underlying configuration of The System.

Your Content: You retain ownership of the text, images, and data you upload to the system.

Created Work: Upon full payment, ownership of specific creative assets produced by us for you (e.g., ad graphics, social media captions) is transferred to you. However, we retain the right to use these works in our portfolio unless a Non-Disclosure Agreement (NDA) is signed.

7. Third-Party Platforms & Availability

Reliance: Our System relies on third-party providers (including HighLevel, Twilio, Mailgun, etc.). While we strive for maximum uptime, we cannot guarantee that the Services will be uninterrupted or error-free.

Platform Changes: We are not responsible for changes to third-party platforms (e.g., Facebook changing its Ad Algorithm or blocking an ad account). We act as a manager of these platforms, but we do not own or control them.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Kurious Digital, its directors, employees, or partners be liable for any indirect, punitive, incidental, special, or consequential damages, including without limitation, loss of profits, data, use, or goodwill, arising out of or in any way connected with the use of the Services.

9. Termination

By You: You may cancel your Software Subscription at any time via your account settings or by emailing us. Cancellations take effect at the end of the current billing cycle.

By Us: We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Lebanon, without regard to its conflict of law provisions. Any disputes arising under this agreement shall be resolved in the courts of Beirut.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.
